Please read these Terms of Service (“Terms”, “Terms of Service”) carefully before using the https://shortclix.com website (the “Service”) operated by rematic media GmbH (“us”, “we”, or “our”). SHORTCLIX is a brand of rematic media GmbH, Argentinierstraße 51/1, 1040 Vienna, Austria. References to “SHORTCLIX” in these Terms mean rematic media GmbH. Full company details are set out in our Imprint.
Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who wish to access or use the Service. By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you do not have permission to access the Service.
When you create an Account, we send you service-related (transactional) e-mails that are necessary to operate the Service, such as account, security, billing and automated statistics notifications. You cannot opt out of these while you hold an Account, as they are required to provide the Service.
We will only send you newsletters, marketing or promotional materials if you have given your separate, explicit consent (for example by ticking a dedicated opt-in box), or where otherwise permitted by applicable law. Such consent is voluntary and is not a condition of creating an Account or using the Service. You may withdraw it at any time, without affecting the lawfulness of prior processing, by following the unsubscribe link in any such e-mail or by contacting us.
Some parts of the Service are billed on a subscription basis (“Subscription(s)”). You will be billed in advance on a recurring and periodic basis (“Billing Cycle”). Billing cycles are set either on a monthly or annual basis, depending on the type of subscription plan you select when purchasing a Subscription. At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or SHORTCLIX cancels it. You may cancel your Subscription renewal by contacting SHORTCLIX customer support team or by canceling the Subscription from your account dashboard.
Your order and payment are handled by our payment provider:
A valid payment method is required to process the payment for your Subscription. You must provide accurate and complete billing information, and by submitting it you authorize the applicable payment provider to charge all Subscription fees incurred through your account, including recurring renewal fees, to your chosen payment method until you cancel. Invoices and receipts are issued by the payment provider that handled your order. Should automatic billing fail for any reason, you may be asked to complete payment manually for the applicable billing period by the date indicated on the invoice.
SHORTCLIX offers a permanently free plan with a reduced set of features and lower usage limits (the “Free Plan”). The Free Plan is not a trial: it is not limited in time and it does not convert into a paid Subscription. Registering for the Free Plan is free of charge and does not require you to provide a credit card or any other payment method. A valid payment method is only required if you decide to purchase a paid Subscription.
We may, at our sole discretion and at any time, change, limit or discontinue the Free Plan, including the features and usage limits it includes. Free Plan accounts are also subject to the deletion rules set out under “Accounts” below.
SHORTCLIX, in its sole discretion and at any time, may modify the Subscription fees for the Subscriptions. Any Subscription fee change will become effective at the end of the then-current Billing Cycle.
SHORTCLIX will provide you with reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective.
Your continued use of the Service after the Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.
We offer a full refund on any purchase made within 14 days of the date of purchase. Refunds are processed to your original payment method by the payment provider that handled your order. Full details are set out in our Refund Policy.
SHORTCLIX is a link-shortening, redirection and QR-code service. You do not publish content on the Service. Instead, you create short links and QR codes that forward visitors to a target address of your choice (each a “Destination”), and you enter a limited amount of your own data along the way, such as workspace, project and link names, descriptions and report recipients (together with the Destinations, “Your Content”). You are solely responsible for Your Content and for every Destination you point a short link or QR code to, including its legality, safety and appropriateness.
By creating a short link or QR code you represent and warrant that: (1) the Destination does not contain, deliver or facilitate malware, spyware, ransomware or any other malicious or harmful code; (2) you do not use the Service for phishing, fraud, deception or any other unlawful purpose, and you do not use short links or QR codes to disguise the true nature or origin of the Destination in order to mislead anyone; (3) the redirection to the Destination does not infringe the copyright or any other right of a third party — this matters in particular where you link directly to a file such as a PDF, an image, a video or an archive, for which you must hold the necessary rights or the rights holder's permission; and (4) Your Content does not violate the privacy rights, publicity rights, trademark rights, contract rights or any other rights of any person or entity.
Linking to a publicly accessible third-party page (for example a shop, a news article or a social-media profile) does not normally require the rights holder's permission, and this section does not ask you to warrant that you own such a page. What you must warrant is that the redirection itself is lawful, that it does not circumvent a paywall, an access restriction or a technical protection measure, and that the Destination is safe.
You retain all rights in Your Content. We do not claim ownership of it and we do not publish it. You grant us only the limited, non-exclusive licence we need in order to operate the Service for you: to store and process Your Content and the Destinations, to resolve and carry out the redirects, to generate QR codes, to compile the click statistics, reports and exports you request, and to make Your Content available to the other members of your workspace and to the report recipients you designate. This licence ends when you delete the relevant content or your account, except for backups and log data that are erased in the ordinary course of operation.
SHORTCLIX has the right, but not the obligation, to review Destinations and Your Content and to use automated systems, including third-party URL reputation services, to detect malicious or fraudulent Destinations. The measures we may take are set out under “Acceptable Use” below. We reserve the right to terminate the account of anyone found to be infringing a copyright.
The Service itself — including our name, logo and trademarks, the software, the design, and the graphics, texts, images, videos and documentation we make available on or through the Service — is the property of SHORTCLIX or used with permission. This does not cover Your Content. You may not distribute, modify, transmit, reuse, download, repost, copy or use our material, whether in whole or in part, for commercial purposes or for personal gain, without our express prior written permission.
You agree to use the Service, including the creation of shortened links and QR codes, only for lawful purposes. You must not use the Service to create, distribute or link to content that is illegal, fraudulent, deceptive, or that infringes the rights of others. In particular, you must not use the Service to shorten or distribute links that point to or facilitate: phishing, malware, spyware, ransomware or other malicious code; spam or unsolicited bulk messaging; content that is defamatory, obscene, or that depicts the sexual abuse or exploitation of minors; the sale of illegal or regulated goods; the infringement of intellectual property rights; or any activity that violates applicable laws or the rights of third parties.
You must not attempt to circumvent plan limits, interfere with or disrupt the integrity or performance of the Service, attempt to gain unauthorized access to the Service or related systems, or use the Service in any manner that could damage, disable, overburden or impair it.
You are solely responsible for the destinations and content of the links you create. We reserve the right, at our sole discretion and without prior notice or liability, to disable, suspend or delete any link, QR code, project or account that we believe violates these Terms or applicable law, or that poses a security or reputational risk to the Service or its users. We may also report unlawful activity to the competent authorities.
When you create an account with us, you guarantee that you are above the age of 18, and that the information you provide us is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on the Service. You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password, whether your password is with our Service or a third-party service. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you, without appropriate authorization. You may not use as a username any name that is offensive, vulgar or obscene. We reserve the right to refuse service, terminate accounts, remove or edit content in our sole discretion.
You must confirm your e-mail address in order to use the Service. Accounts whose e-mail address has still not been confirmed 7 days after registration are deleted automatically, together with the workspace and all data they contain. Unconfirmed registrations are overwhelmingly made by bots and spammers with e-mail addresses that do not exist, and deleting them protects the Service and the people whose addresses would otherwise be abused.
Deletion is permanent and cannot be undone: the account, its workspace, projects, short links, QR codes and click statistics are removed, and short links and QR codes that have already been distributed, printed or embedded stop working. Confirming your e-mail address is all it takes to keep your account — this also applies if you were invited to someone else's workspace and only collaborate there without creating a project of your own.
The Service and its original content (excluding Content provided by users), features and functionality are and will remain the exclusive property of SHORTCLIX and its licensors. The Service is protected by copyright, trademark, and other laws of Austria, the European Union and other countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of SHORTCLIX.
Our Service may contain links to third-party websites or services that are not owned or controlled by SHORTCLIX. SHORTCLIX has no control over, and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services. We do not warrant the offerings of any of these entities/individuals or their websites
You acknowledge and agree that SHORTCLIX shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party websites or services.
We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.
We do our best to provide a good and reliable Service, but we do not guarantee that the Service will be available at any particular time, at any particular location, or at all. The Service is provided without any service level agreement, uptime commitment or guaranteed response time. Maintenance, technical faults, capacity limits, attacks on the Service, and the failure, malfunction or discontinuation of the third-party providers we depend on — in particular hosting, network, e-mail, payment and URL reputation providers — may interrupt, degrade or suspend the Service at any time, with or without prior notice.
We may modify, suspend, limit or discontinue the Service, any plan, or any individual feature at any time. If the Service is discontinued for any reason, all short links and QR codes stop resolving — including those you have already distributed, printed, embedded in advertising material, or otherwise put into circulation. You acknowledge this risk, accept it, and agree that no claim for damages, compensation, reimbursement of production or reprinting costs, or any other remedy can arise from it. You remain responsible for keeping your own record of your Destination URLs and for deciding where and how you use short links and QR codes in materials that you cannot easily change.
We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. If you wish to terminate your account, you may simply discontinue using the Service.
When an account is terminated or deleted, its short links and QR codes stop working, including any that have already been distributed or printed, and the associated click statistics are deleted. No claim for damages or compensation can arise from this.
All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
To the fullest extent permitted by applicable law, in no event shall SHORTCLIX, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, revenue, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of, or inability to access or use, the Service, including any interruption, downtime, delay, degradation, suspension or discontinuation of the Service or of individual short links or QR codes, and any loss or corruption of data; (ii) any conduct or content of any third party on the Service; (iii) any Destination, or any content obtained from or through the Service; (iv) unauthorized access to, use of, or alteration of your transmissions, content or account, including as a result of a security incident, an attack on the Service, or the failure of a third-party provider; and (v) any cost you incur because short links or QR codes you have distributed, printed or embedded no longer work, including the cost of reproducing or replacing the affected material; whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
To the fullest extent permitted by applicable law, our total aggregate liability for all claims arising out of or in connection with these Terms or the Service is limited to the amount you actually paid us for the Service in the twelve (12) months preceding the event giving rise to the claim. If you use the Service on the Free Plan and have therefore paid us nothing, our liability is excluded to the fullest extent permitted by applicable law.
Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable mandatory law, in particular liability for personal injury, for damage caused intentionally or through gross negligence, or under the Austrian Product Liability Act (Produkthaftungsgesetz).
Your use of the Service is at your sole risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
SHORTCLIX its subsidiaries, affiliates, and its licensors do not warrant that a) the Service will function uninterrupted, secure, or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; d) the results of using the Service will meet your requirements; or e) any short link, QR code, click statistic or report will remain available, accurate or complete.
Click statistics and reports are provided for informational purposes only. They are collected on a best-effort, privacy-preserving basis, without cookies, and may be incomplete or inaccurate — for example because of caching, prefetching, bots, ad blockers, network errors, or the tracking limits of your plan. You must not rely on them as the sole basis for a business, billing or legal decision.
Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages, so the limitations above may not apply to you.
These Terms are governed by and construed in accordance with the laws of Austria, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. For business customers (entrepreneurs within the meaning of the Austrian Consumer Protection Act, KSchG), the exclusive place of jurisdiction for all disputes arising out of or in connection with these Terms is the court with subject-matter jurisdiction in Vienna, Austria.
If you are a consumer, this choice of law does not deprive you of the protection afforded by mandatory provisions of the law of the country in which you have your habitual residence, and you may bring proceedings in the courts of that country where mandatory law so provides. Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable mandatory law, including liability for personal injury or for damage caused by intent or gross negligence.
If any provision of these Terms is held to be invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be replaced by a valid provision that comes closest to the intended economic purpose.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
